MVF Player Private Limited., having its office at HOUSE NO 176, NEW GURAURA, LUCKNOW, 226002, Company (“MVF Player”, “we”, “us” or “our”), owns/ operates ‘over the top” on demand digital application/services under the brand name “MVF Player"
This user agreement ("User Agreement") must be read in connection with and in addition to the Privacy Policy, which is an important element of the User Agreement between MVF Player and you ("User," "You," or "Your") in respect to Your access to and use of the Services. If User chooses, the Service will additionally contain the Subscription Service (as described below).
This User Agreement will be understood as "electronic records" as defined by Singapore's Electronic Transaction Act, 2010 and amendments, or as defined by similar local legislation in Your jurisdiction and regulations thereunder, as appropriate. This User Agreement is created by a computer programme and does not need physical or electronic signatures. The User Agreement is a legally binding contract between the Service User and MVF Player that spells out the conditions that govern Your use and access to the Service. You consent, agree, and undertake to comply, be bound by, and adhere to the User Agreement by using this Service, and if You do not agree to these User Agreement, You should not access or use the Service. If you use the Services, it is assumed that you agree to the User Agreement. We retain the right to revise, modify, or otherwise alter this User Agreement at any time without notice, in our sole discretion. Such changes and/or updates will take effect as soon as they are posted/published on the Service. Following the publication of changes and/or additions to the User Agreement, your continuing use of the Service constitutes your acceptance of the amended User Agreement. The User Agreement governs your access to and use of the Services, as well as any features, branding, data, message, text, image, photographs, graphics, audio, sound, voice, codes, computer programmes, software, database, service information, any form of content (series, movies, sports, games, etc.) and interactive elements/features that you use and host, publish, share, transact, display, upload, and/or engage with while accessing and using the Services.
Only Users above the age of 18 are provided and made accessible to the service. You agree to the Age Suitability Terms by accessing and using the Services. Acceptance and compliance with the User Agreement with Age Suitability Terms and Privacy Policy are required for access to and use of the Services. You agree to be bound by the User Agreement by accessing or using the Services. We may also use YouTube API Services/SDK or any third-party API services/SDK in some of our products as permitted by YouTube policies, which means that if you use an MVF Player service that uses YouTube APIs/SDK or any third-party API/SDK services, you agree to the YouTube Terms of Service/Use or such or any third-party Terms of Service/Use as well as this User Agreement. Please be aware that YouTube or third-party Terms of Service/Use, among other things, expressly require users to guarantee that any material they post does not infringe on third-party intellectual property rights.
You may only access and use the Services if you are able to create a legally binding contract with MVF Player and are not a person forbidden from obtaining services under Singapore or other relevant jurisdiction's laws. You represent and guarantee that you are allowed to accept these terms of User Agreement and use the Services on behalf of a corporation, organisation, government, or other legal body. The User Agreement, Age Suitability Terms Privacy Policy, and all relevant local, state, national, and international laws, rules, and regulations govern your use of the Services.
The form and substance of the Services given to You are constantly developing, and they may change at any moment without previous notification to You. MVF Player may also discontinue delivering the Services (or any features within the Services) to You at any time (permanently or temporarily). We also reserve the right, in our sole discretion, to impose limitations on usage and storage at any time and without prior notice to You.
The Service, including the Subscription Services and any Content under the premium category, including without limitation the Subscription Service / premium service currently branded / marked as "MVF Premium," can be packaged by MVF Player in a variety of ways to facilitate Your access and viewership. For example, the Services may be accessible (a) free of charge, which may include advertisements or commercials, or (b) via subscription, which requires payment of a subscription fee (including the Subscription Services).
The service is available via platforms, software, and devices that MVF Player authorises on a regular basis ("Compatible Source"). In certain circumstances, the device maker or other third parties may offer or maintain software or platforms that determine whether a device is (or stays) a Compatible Source. As a consequence, devices that were formerly Compatible Source may become incompatible in the future.
Interest-based advertising, which are online ads customised to Your probable interests based on Your usage of different applications and websites throughout the Internet, may be included in Services (including Subscription Services as defined above). Cookies and web beacons may be used to gather information to assist estimate Your probable interests if you are using a browser. If You have an advertising identifier on your mobile device, tablet, or streaming media device, that identification may be used to assist identify Your probable interests. MVF Player's advertising kinds and extent on the Services are subject to change. You agree that MVF Player and its parent company, third party providers, and partners may place such advertising on the Services or in connection with the display of any Content (defined below) or information from the Services, whether submitted by You, us, or third parties, in exchange for MVF Player granting You access to and use of the Services.
In addition to MVF Originals and other MVF Player-owned content (collectively "Service Content"), we also host and transmit/distribute third-party content (including advertisements) as provided by the content owner/licensor/producer/aggregator/distributor on a "as is" basis without any modification or involvement in its creation ("Third Party Content") (hereinafter "Service Content" and "Third Party Content") (hereinafter "Service Content" and MVF Player serves only as a "Intermediary" with relation to such Third-Party Content, as defined by the Electronic Transaction Act, 2010 of Singapore or any related laws of Singapore, or as defined by analogous local laws and regulations of Your jurisdiction, as applicable. MVF Player explicitly disclaims any and all responsibility for Third Party Content. As a "Intermediary," MVF Player has no responsibility or liability for any Third-Party Material on the Services, including, without limitation, for infringement of intellectual property rights, defamation, unlawful content, or any other legal violation.
Content (subject to applicable rights) will be made accessible to You in a variety of ways, at MVF Player's discretion, including video on demand for watching at the User's leisure at a time set by You, and download for offline viewing by You. Please keep in mind that: (a) the downloads are transitory and are only intended to enable You to see the Content for a limited time; You must not try to or actually create a permanent copy of the Content in any fashion or form; and (b) not all Content is accessible for download for offline viewing. Please be aware that the availability of, and Your ability to access, the Content or certain parts of the Services (a) is at our exclusive discretion, (b) may be based on Your geographic location, and (c) is contingent on the fact that not all Content or Services will be accessible to all Users (s). The Services may be accessed from various geographical locations due to the nature of the Internet; and You hereby agree and acknowledge that You are accessing the Services at Your own risk, choice, and initiative, and that You agree and undertake to ensure that Your use of the Services complies with all applicable laws, including local laws in Your jurisdiction. Furthermore, the Services and Content may differ from one location to another, from one time to another, and from one device to another, depending on a variety of factors such as device specifications, Internet availability and speed, bandwidth, and so on. You accept and recognise that MVF Player may monitor or use certain technologies to track Your activity in order to improve the Service or provide You a better user experience, in compliance with our Privacy Policy.
MVF Player may categorise and classify some Content, as well as give disclaimers about the Content, so that viewers may choose what they want to watch. Certain of the material available on the Service may be inappropriate for some users, therefore users should exercise caution. Furthermore, some of the Content available on the Services may not be suitable for minors to access. Before permitting their children and/or wards to access Content on the Service, parents and/or legal guardians should follow relevant laws and take caution. If You use and access the Service, please refer to our Age Suitability Policy as it applies to You.
MVF Player does not pre-screen Third-Party Content and is under no duty to monitor it. As a result, MVF Player may not always be aware of any Third-Party Content on the Services. However, MVF Player may monitor any Third-Party Content and remove any Third-Party Content from the Services at its sole discretion and in accordance with applicable law if MVF Player determines in its sole discretion that such Third-Party Content is in violation of this User Agreement or any applicable law. Only when complaints are received from You or any third party, MVF Player may evaluate the Third Party-Content at its discretion. Such activities in no way undermine or diminish our role as a "Intermediary," nor do they place any obligation on MVF Player in relation to Third-Party Content. It is entirely at Your own risk to use or rely on any Service Content or materials posted through the Services or received by You via the Services.
MVF Player does not advocate, promote, represent, or guarantee any Third-Party Content's completeness, truthfulness, correctness, or reliability. By using the Services, you acknowledge that you may be exposed to Third Party Content that is offensive, harmful, incorrect, or otherwise improper. MVF Player shall not be responsible in any way for any Third-Party Content, including any errors or omissions in any Third-Party Content, or any loss or damage of any kind caused as a consequence of the use of any Third-Party Content made accessible through the Services or narrow casted elsewhere.
Some of the premium content, currently branded / labelled as "MVF Premium," is available and accessible exclusively to Users who have chosen for one of the Service's membership plans, which are updated from time to time ("Subscription User"). We may offer various subscription plans (monthly, quarterly, half-yearly, yearly, or any other period as specified on the Service), each of which will be subject to different limitations and restrictions, and the cost and/or period of each of these subscription plans will vary (each referred to as "Subscription Plan"). Unless otherwise supplied by MVF at its sole discretion, no free trial period will be allowed for subscribing to the Subscription Plan or even after subscribing to the Subscription Plan.
We reserve the right to make some subscription-related Content accessible to You on more than one end-user compatible system at the same time. We also reserve the right to make some Content accessible to You under one Account and several devices at the same time, whether as part of a subscription plan or otherwise.
To become a Subscription User, you must first establish an account, which will include information such as your Apple and/or Facebook and/or Google accounts, as well as your cellphone number, if applicable ("Account"). To move forward, some of this information may need to be validated by You through a one-time-password provided to the User's registered cellphone number. You must be a registered subscriber of MVF Player and have a valid Account (as described above) with MVF Player at all times when accessing/using the Service. If You have reason to suspect that someone else has gotten Your Account information without your permission, you should contact MVF Player immediately at support@MVFplayer.com to suspend Your Account and cancel any outstanding unauthorised subscription orders or payments (if any). Please keep in mind that membership orders or payments (if any) may only be cancelled up to the start of the Services. If an unlawful service begins before You inform Us of the unauthorised nature of the order or payment as required by this section, We shall halt the supply of Services and withhold any planned payments while we investigate. Following an investigation, MVF will decide whether to deactivate the Services and provide a full or partial refund for an unlawful order, or revalidate Your Account following reverification and revalidation, at its sole discretion.
4A. The Cost Of A Subscription And The Duration Of A Subscription
You will be required to pay a subscription charge for using the Service in the region where You live, based on one or more of the subscription package choices made available by MVF Player from time to time ("Subscription Fee").
Each Subscription plan's Subscription Fee is inclusive of all applicable taxes.
You will be required to pay the Subscription Fee through Apple Store App purchases or other methods as specified or as may be available. Following successful completion of the Subscription Fee payment and authentication, the Service to which You have subscribed will become operational, and You will be provided access to the Service. Due to operational and/or technical reasons, Your Service activation may be delayed after you have completed the Subscription Fee payment.
The subscription packages You choose will be valid for a certain amount of time ("Subscription Term"), which may be monthly, quarterly, or annually, or as stated on the MVF Player, beginning on the day You subscribed to the Service. The service will be active for the duration of the Subscription Term.
The "Account" area of Your profile page allows you to check the status of Your subscription at any moment.
We retain the right, at our sole discretion and at any time, to revise, cancel, or otherwise adjust the subscription packages, Subscription Fees, and payment cycles. Such modifications will become effective/applicable upon the conclusion of the User's current Subscription Term.
MVF Player may provide You early notice of any revisions to the Subscription Fee for a specific membership plan, or for any extension or renewal term, by means of communication on the Service itself, or by Your registered e-mail or registered cellphone number (as the case may be). Your continued use of the Service after receiving such notice at the start of the renewal or extension term will be considered as acceptance of the amended Subscription Fees.
Regardless of whether the Service has been used and/or consumed, the Subscription Fees paid are non-refundable. Regardless of when You discontinue the Service, your subscription plan will remain valid until the conclusion of the Subscription Term. We may refund the Subscription Fee during the Subscription Term after successful verification and confirmation from third-party payment gateways / service providers engaged to process and facilitate the payment of the Subscription Fee, after which Your subscription will be deactivated and Your access to the Subscription Service will be revoked. Any modifications to your subscription plan will only take effect after the current Subscription Term, for which you have already been invoiced, has expired. As a result, the Service as per the amended plan chosen by You will only become operational after the current Subscription Term expires. If you want to upgrade an existing / active subscription pack, the terms of that subscription will be changed and extended for the extra time. The User must choose a subscription pack with a greater value than the current Subscription pack.
If You desire to re-subscribe to the Service after cancelling your membership, You may do so via Your "Account" page.
4B. Billing, Payment, and Cancellation Terms
Unless and until You cancel the Service, or the Service is otherwise suspended or discontinued pursuant to this User Agreement, the Subscription Fee will be billed as per Your selected Payment Method (defined hereunder) for the subscription plan selected by You at the beginning of Your Subscription Term and on each subsequent renewal automatically (as per the subscription plan chosen by You). Visit the "Account" area of Your profile page to view/check the start date for Your next renewal term or to discontinue the Service. It might take a few days for your MVF payment to appear in your "Account" area.
All permitted ways as accessible to Users to process and enable the payment of the Subscription Fee for accessing the Subscription Services are referred to as "Payment Methods." The third-party payment gateways / service providers employed to handle and enable the payment of the Subscription Fee for accessing the Subscription Services will be governed by their Terms of Use and Privacy Policies.
You are responsible for the accuracy and validity of the information you give, including your bank account number/credit card details and any other information the payment gateway service provider requests throughout the membership process. We further emphasise that We do not receive or collect any of Your financial information, such as your bank account number, credit card and/or debit card number, one-time-password issued by your bank, passwords, bank customer IDs, and so on, and will not be liable if such information is misused by others. You agree and recognise that MVF is not accountable or responsible for any damages, whether direct, indirect, incidental, or consequential, including, without limitation, any losses resulting from a delay in payment instruction processing or any credit card/debit card/banking fraud.
Any payment processing complaint should be sent to the third-party payment gateway / payment processing service provider using the email address supplied by them.
Any and all payments made under the User Agreement are non-refundable, and we do not issue refunds or credits for any partial-month membership periods for any reason, unless You have cause to think that Your Account information has been acquired without your authorization. In this case, you should contact the third-party payment gateway / payment processing service provider for assistance (using the email address supplied by them).
Our Privacy Policy, which regulates our collection and use of Your information, applies to the information You supply to MVF Player. You understand that by using the Services, you explicitly agree to the collecting and use of this information (as described in the Privacy Policy), as well as the transfer of this information to India or any other country in the globe for storage, processing, and use by MVF Player. We may need to send You certain communications as part of delivering the Services, such as service notifications and administrative messages. These messages are part of the Services and your MVF Player account (if applicable).
You are solely responsible for the security of the password or credentials you use to access the Services, as well as any activities or acts carried out under Your MVF Player account. We recommend that You use "strong" passwords (passwords that include a mix of upper and lower case letters, digits, and symbols) with Your MVF Player account and any other accounts you may link to it (such as Your social media account or Your email). MVF Player is not responsible for any loss or damage incurred as a result of Your failing to comply with the aforementioned conditions.
MVF Player grants You a non-exclusive, personal, global, royalty-free, non-assignable licence to use the Service offered by MVF Player as part of the Services. This licence is only for the purpose of allowing You to use and profit from MVF Player's Services in the manner authorised by the User Agreement. Except for accessing and using the Services as authorised above, You may not use any part of the Services (such as codes, features, branding/trademarks/logos, look and feel, content, and so on) independently in any way without MVF Player's prior written permission. Rights to Intellectual Property All patents, trademarks, service marks, copyrights, database rights, trade names, brand names, trade secrets, design rights, and similar proprietary rights of MVF Player and/or its licensors and/or other respective owners, whether registered or unregistered, and all renewals and extensions, shall be deemed "Intellectual Property Rights" for the purposes of this User Agreement.
The rights, title, and interest in the Service's Intellectual Property Rights, including without limitation all of its constituents, content, features, functions, text, images, audios, audio-visuals, literary work, artistic work, musical work, computer programme, dramatic work, sound recording, cinematograph film, artistic work, literary work, musical work, video recording, gaming elements/content performance, and broadcast as defined by applicable laws, specific to the Service. MVF Player maintains full, complete, and total ownership of the Service, as well as all related Intellectual Property Rights.
We will consider the Service, including any Content therein, to be non-exclusively licensed to You solely for Your personal, non-commercial use and for such term as we may, in our sole discretion, deem suitable. You may not decompile, reverse engineer, disassemble, adapt, disseminate to the public, construct a derivative work, or tamper with the integrity of the Service (including without limitation the software, code, components, elements, Content, and so on) in any way.
You expressly agree not to copy, reproduce, modify, edit, re-edit, vary, enhance, improve, upgrade, create derivative works, translate, adapt, abridge, delete, display, perform, publish, distribute, circulate, communicate to the public, disassemble, decompile, reverse engineer, market, promote, circulate, exploit, digitally alter or manipulate, sell, rent, lease, lend, assign, licence, sublicense, disassemble, decompile, reverse engineer, market, promote, circulate
MVF Player maintains the right (but not the responsibility) to delete or withdraw any Content (including Service Content and Third-Party Content) from the Services at any time, as well as to suspend or terminate User(s) and recover profile URLs, without incurring any liability to You.
MVF Player also reserves the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to I comply with any applicable law, regulation, legal process, or governmental request, (ii) enforce the terms of the User Agreement, including the investigation of potential violations thereof, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to User support requests, or (v) protect the rights, property, or safety of MVF Player or its users In compliance with our Privacy Policy, MVF Player does not reveal personally identifiable information to third parties, with the exception of anonymized aggregated data for the Services based on advertising model (excluding MVF One Subscription).
While accessing or using the Services, you will not perform any of the following: I access, tamper with, or use non-public areas of the Services, MVF Player's software systems, or MVF Player's providers' technical delivery systems; (ii) probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures; (iii) access or search, or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provably accurate (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any other way use the Services to send altered, deceptive, or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services, or by scripting the creation of the
Any and all contests, promotions, surveys, and campaigns hosted or conducted on the Service are subject to separate contest terms and conditions ("Contest and/or Promotion T&Cs"), which you should read before participating in. The User Agreement is assumed to be incorporated by reference into the Contest and Promotion T&Cs applicable to a specific activity.
You agree to fully indemnify, defend, and hold MVF Player, its affiliates, associates, and group companies, as well as their respective directors, key managerial personnel, employees, officers, shareholders, agents, representatives, sub-contractors, consultants, and third-party providers, harmless from and against all losses, claims, and damages, including legal fees, resulting from: I Your violation of any terms of the User Agreement; (ii) Your violation of any third-party right, including intellectual property rights; and This indemnity duty will continue when the User Agreement expires or is terminated, as well as Your use of the service.
MVF Player respects other people's intellectual property rights and expects its users to do the same. We will react to reports of suspected copyright infringement that are properly delivered to us and conform with relevant law. Please email us with the following information if you feel any Content has been copied in a manner that violates copyright: I the copyright owner's or a person authorised to act on their behalf's physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material claimed to be infringing or the subject of infringing activity and that is to be removed or access to which is to be disabled, as well as information reasonably sufficient to permit us to locate the material; (iv) identification of the copyrighted work claimed to have been infringed; (v) identification of the copyrighted work claimed to have been (v) a statement by You that You have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and that You are authorised to act on behalf of the copyright owner, under penalty of perjury.
MVF Player retains the right, without prior warning and at our sole discretion, to remove any Third Party suspected to be infringing. MVF Player may also cancel a User's account if the User is found to be a repeat infringement in proper circumstances.
MVF Player and its parents, subsidiaries, affiliates, associated businesses, officers, directors, employees, agents, representatives, partners, and licensors are limited in their responsibility under this section (collectively, the "MVF Player Entities"). Each of the subsections below only applies to the degree that relevant legislation permits. As a consequence, the contents of this section may not apply to You if your jurisdiction does not allow the disclaimer of implied warranties or the limitation of responsibility in contracts. This section is not intended to restrict any rights You may have that are not legally limited.
A. Services are provided "AS-IS."
It is entirely at Your own responsibility to access and use the Services or any Service Content. You acknowledge and agree that the Services are offered "AS IS" and "AS AVAILABLE" to You. Without limiting the above, MVF Player Entities disclaim all warranties and conditions of merchantability, suitability for a specific purpose, and non-infringement, whether explicit or implied.
MVF Player Entities make no warranty and disclaim all responsibility and liability for: I the completeness, accuracy, availability, timeliness, security, or reliability of the Services or any Content; (ii) any harm to Your computer system, loss of data, or other harm that results from Your access to or use of the Services, or any Content; (iii) the deletion of, or failure to store or transmit, any Content and other communications maintained by the Services; and (iv) any other harm that results Any advice or information gained from MVF Player Entities or via the Services, whether oral or written, will not constitute any guarantee not explicitly stated herein.
B. Connections to Third-Party Websites or Resources
The Services may include links to third-party websites or resources. You recognise and agree that MVF Player is not responsible or liable for: I the content, goods, advertising, or services on or accessible from such websites or resources; or (ii) the availability or accuracy of such websites or resources. MVF Player Entities do not support such websites or resources, or the information, goods, or services accessible from such websites or resources, by providing links to them. You accept entire responsibility for any and all risks associated with your use of such websites or resources.
C. Liability Limitation
To the fullest extent permitted by law, the MVF Player Entities will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from I Your access to or use of, or inability to access or use the Services; (ii) any conduct or content of any third party on the Services, including without limitation,
The limitations of this subsection apply to any theory of liability, including warranty, contract, statute, tort (including negligence), or otherwise, whether or not the MVF Player Entities have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
MVF Player and its licensors/owners own all right, title, and interest in and to the Services, and will continue to do so. Copyright, trademark, and other laws in Singapore and other countries protect the Services. All rights not explicitly granted in these User Agreement conditions are reserved by MVF Player. You understand and agree that any feedback, comments, or suggestions you offer about MVF Player or the Services are totally optional, and that we are free to use such feedback, comments, or suggestions in any way we see appropriate, with no obligation to You.
A. Severability and Waiver
MVF Player's omission to enforce any right or provision of these User Agreement terms will not be construed as a waiver of such right or provision. If any part of these terms of User Agreement is found to be invalid or unenforceable, that provision will be modified or removed to the smallest extent required, and the other sections will continue in full force and effect.
B. Law and Jurisdiction in Control
The terms of this agreement, as well as any actions taken in connection with them, shall be governed by Singaporean law, without respect to the application of the conflict of laws requirements of Your state or country of residence. All claims, disputes, legal processes, or litigation arising out of or relating to the Services shall be brought only in Singapore's competent courts of jurisdiction, and You agree to their jurisdiction and venue, and waive any objection to the courts in Singapore being an inconvenient forum.
C. Complete Agreement
The User Agreement supersedes and replaces any prior agreements between MVF Player and You regarding the Services (except for any services for which You have a separate agreement with MVF Player that is explicitly in addition to or in place of the User Agreement), and the User Agreement supersedes and replaces any prior agreements between MVF Player and You regarding the Services.
D. Modifications
MVF Player reserves the right to edit, augment, update, or otherwise change these conditions at any time without prior notice. Any changes, revisions, supplements, adjustments, and new regulations, policies, terms, and conditions will be posted on the application and will take effect immediately. We urge that you review the application on a regular basis to ensure that the conditions have not changed. Your continuing use of the Services will be interpreted as acceptance of any and all updated terms.
E. Survivability
You agree that Your representations, undertakings, and warranties, as well as the indemnification, limitation of liability, grant of licence, and governing law provisions, will survive the expiration of time and the termination of the terms and conditions/ User Agreement.

The User Agreement, Privacy Policy, and Community Guidelines of MVF Takatak govern your access to the MVF Takatak area of MVF Player, and they are binding on you.
